Agreement to Terms
By accessing medjay.io or using Medjay's web-based tools and services, you agree to these Terms of Service. If you do not agree, please do not use this website or its features.
Use of Website
You may use this website for lawful purposes only. You agree not to:
Use the site in any way that violates applicable laws
Attempt to gain unauthorized access to any part of the site
Interfere with or disrupt the website's operation
Copy, reproduce, or distribute content without permission
Intellectual Property
All content on this website—including text, graphics, logos, images, and software—is the property of Medjay LLC and protected by intellectual property laws.
The Medjay name, logo, and product names (Voyager, Clarion, Sentinel) are trademarks of Medjay LLC.
Screen Capture Tools (Voyager FML)
Medjay provides screen capture functionality ("Voyager FML" or "Capture Tools") that enables you to capture screenshots and record video of your device screens, application windows, or browser tabs for the purpose of documenting feedback, errors, process observations, and workplace friction points.
License Grant
By using the Capture Tools, you grant Medjay LLC a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to:
Store, host, and back up captured content on our systems and those of our authorized service providers;
Process and analyze captured content using automated systems, including artificial intelligence and machine learning technologies;
Display captured content to authorized users within your organization;
Use captured content in aggregated, de-identified form to improve our products and services;
Create derivative insights and analytics from captured content for use by your organization.
This license continues for as long as your content remains on our platform and for a reasonable period thereafter necessary to complete processing, fulfill backup retention requirements, and comply with applicable law.
Content Ownership
You retain ownership of content you capture. This Agreement does not transfer ownership of your content to Medjay.
Your Representations and Warranties
By using the Capture Tools, you represent and warrant that:
You have the legal right and authority to capture the content displayed on your screen at the time of capture;
Your capture and submission of content does not violate any third party's intellectual property rights, privacy rights, confidentiality obligations, or contractual restrictions;
If capturing content in a workplace or organizational context, you have obtained any required authorization from your employer or organization to capture and submit such content;
You will not intentionally capture or submit content containing: (i) credentials, passwords, or authentication tokens; (ii) financial account numbers, payment card data, or banking information; (iii) protected health information subject to HIPAA or similar regulations; (iv) social security numbers or government identification numbers; (v) content that is illegal, defamatory, or violates the rights of others.
Content Ownership
You retain ownership of content you capture. This Agreement does not transfer ownership of your content to Medjay.

Recording Consent and Communications Compliance
Communications Awareness. You acknowledge that the Capture Tools may record content displayed on your screen that includes real-time or recorded communications involving third parties, including but not limited to video conferencing, voice calls, instant messaging, chat applications, and email. You are solely responsible for determining whether any such communications are subject to federal, state, or international laws governing the interception, recording, or monitoring of communications, including without limitation the federal Wiretap Act (18 U.S.C. §§ 2510–2522) and applicable state recording consent statutes.
Consent Obligation. Before using the Capture Tools to record any screen content that displays, depicts, or includes communications with or among third parties, you agree to obtain all consents required by applicable law from all parties to such communications. In jurisdictions requiring all-party consent, this means obtaining the affirmative consent of every participant in the communication before initiating any screen recording that may capture such communication.
Prohibited Uses
You shall not use the Capture Tools to:
Record, intercept, or capture any communication in violation of applicable wiretapping, eavesdropping, or electronic surveillance laws;
Conduct surveillance of any individual without their knowledge and consent where such consent is required by law;
Capture content from any device, screen, or session that you are not authorized to access.
Medjay Disclaimer
Medjay does not monitor the content of your screen captures or recordings for compliance with recording consent laws. Medjay is a technology provider and does not provide legal advice regarding recording consent requirements. You are solely responsible for understanding and complying with the laws applicable to your jurisdiction and circumstances.
Your Responsibilities
You are solely responsible for:
Ensuring you have appropriate authorization before capturing any screen content;
Reviewing captured content before submission to ensure it does not contain sensitive or unauthorized information;
Complying with all applicable laws, regulations, and organizational policies regarding screen capture and data sharing;
Any consequences arising from your capture and submission of content through the platform.
Organizational Accounts and Employer Consent
Organizational Accounts. If you are using the Capture Tools through an account provisioned by an organization ("Organizational Account"), your organization is the primary licensor of content captured within that account. The license grant above is deemed to be granted by the organization, and the organization's acceptance of these Terms (or a separate enterprise agreement) governs Medjay's rights in such content.
Individual Authority. By capturing content through an Organizational Account, you represent that you are authorized by your organization to capture and submit such content on the organization's behalf and that you are acting within the scope of your authorized duties.
Administrator Control. Your organization's administrator may access, review, export, or delete content captured by users within the Organizational Account. Your organization's data handling, acceptable use, and privacy policies apply to your use of the Capture Tools in addition to these Terms. In the event of a conflict between your organization's policies and these Terms, these Terms govern as between you and Medjay.
Employer Ownership Acknowledgment. You acknowledge that content captured in a workplace context may be the property of your employer under applicable intellectual property, employment, or work-for-hire laws. Nothing in these Terms is intended to transfer ownership of employer-owned content to you. To the extent you capture content owned by your employer, you represent that you are authorized to submit such content to the Medjay platform on your employer's behalf.
Departure or Termination. If your access to an Organizational Account is revoked (including upon termination of your employment or engagement with the organization), the organization retains control over content you captured during the period of your authorized access. You will no longer have access to such content through the platform.
AI Processing
Operational Processing. You acknowledge and consent that content captured through the Capture Tools will be processed by artificial intelligence and machine learning systems to provide the core functionality of the Medjay platform, including:
Extracting text, identifying applications, and categorizing content;
Detecting patterns, anomalies, and areas of organizational friction;
Generating summaries, insights, and recommendations for display to authorized users within your organization.
Operational processing is an integral part of the service and cannot be disabled without discontinuing use of the Capture Tools.
Product Improvement and AI Model Training. Medjay may use captured content in de-identified and aggregated form to train, improve, and develop Medjay's AI models and algorithms. For purposes of this section, "de-identified" means that content has been processed to remove, obscure, or replace: (i) names and contact information of individuals; (ii) company names, logos, and branding; (iii) any text, images, or data that could reasonably be used to identify a specific individual or organization. "Aggregated" means that no individual capture or session is used in isolation, and training data is combined with data from multiple organizations such that no single organization's content is identifiable.
Organizational Opt-Out. If you are using the Capture Tools within an organizational account, your organization's administrator may opt out of the product improvement and AI model training use described above by contacting support@medjay.io or through the administrator settings panel. Opting out does not affect operational processing. Individual users within an organizational account may not override the administrator's election.
No Human Review Without Consent. Medjay employees and contractors do not review individual captured content unless: (i) necessary to respond to a support request you initiate; (ii) required to comply with law, legal process, or a government request; or (iii) necessary to investigate a violation of these Terms.
Data Retention. Captured content will be retained in accordance with your organization's data retention settings and Medjay's standard retention policies. You may request deletion of your captured content by contacting support@medjay.io, subject to legal holds, backup retention schedules, and organizational administrator policies.
Privacy and Data Protection
Privacy Policy. Your use of this website and our services is subject to Medjay's Privacy Policy, available at medjay.io/privacy-policy. The Privacy Policy describes how we collect, use, store, and share your personal information and is incorporated into these Terms by reference.
Screen Capture Data. You acknowledge that content captured through the Capture Tools may contain personal information, including information about third parties. By submitting captured content, you represent that you have a lawful basis for sharing any personal information contained in such content with Medjay and that you have provided any notices and obtained any consents required by applicable data protection laws.
Data Processing. Medjay processes captured content as a service provider (as defined under the CCPA) and/or data processor (as defined under the GDPR) on behalf of your organization when you use the Capture Tools within an organizational account. In such cases, your organization is the controller of personal data contained in captured content, and Medjay's processing is governed by the terms of the applicable enterprise agreement or Data Processing Agreement between Medjay and your organization.
Individual User Accounts. When you use the Capture Tools through an individual account (not associated with an organizational subscription), Medjay acts as a controller of any personal data you submit. Medjay's processing of such data is described in the Privacy Policy.
International Data Transfers. Medjay's systems are located in the United States. By using the Capture Tools, you consent to the transfer of captured content to the United States for processing and storage. If you are located in the European Economic Area, United Kingdom, or Switzerland, such transfers are subject to the safeguards described in the Privacy Policy.
Data Deletion Requests. You may request deletion of your captured content by contacting support@medjay.io. Deletion requests will be processed in accordance with the Privacy Policy, subject to: (i) any legal hold or litigation preservation obligations; (ii) backup retention schedules (content may persist in backups for up to 90 days following deletion from active systems); and (iii) organizational administrator policies that may restrict individual deletion rights for content captured within an organizational account.

Disclaimer of Warranties
Limitation of Liability
EXCLUSION OF CERTAIN DAMAGES. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MEDJAY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THIS WEBSITE, THE CAPTURE TOOLS, OR ANY SERVICES PROVIDED BY MEDJAY, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF MEDJAY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
CAP ON LIABILITY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MEDJAY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, THE WEBSITE, THE CAPTURE TOOLS, OR ANY SERVICES PROVIDED BY MEDJAY SHALL NOT EXCEED THE GREATER OF: (I) THE TOTAL FEES PAID BY YOU (OR YOUR ORGANIZATION) TO MEDJAY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (II) ONE HUNDRED DOLLARS ($100.00).
EXCEPTIONS. THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO: (I) YOUR INDEMNIFICATION OBLIGATIONS UNDER THESE TERMS; (II) YOUR VIOLATION OF MEDJAY'S INTELLECTUAL PROPERTY RIGHTS; OR (III) LIABILITY ARISING FROM YOUR VIOLATION OF APPLICABLE RECORDING CONSENT OR WIRETAPPING LAWS IN CONNECTION WITH YOUR USE OF THE CAPTURE TOOLS.
Indemnification
You agree to indemnify, defend, and hold harmless Medjay LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the website or Capture Tools; (b) content you capture or submit; (c) your breach of these Terms; or (d) your violation of any third party rights.
Without limiting the foregoing, you specifically agree to indemnify, defend, and hold harmless Medjay LLC and its officers, directors, employees, and agents from any claims, damages, losses, fines, penalties, or expenses (including reasonable attorneys' fees) arising from or related to your recording, capture, or submission of any communication in violation of applicable recording consent or wiretapping laws.
Dispute Resolution
Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of Medjay's website, Capture Tools, or services ("Dispute") shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Dallas, Texas, before a single arbitrator. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
CLASS ACTION WAIVER. YOU AND MEDJAY AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.
JURY TRIAL WAIVER. IF FOR ANY REASON A DISPUTE PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND MEDJAY EACH WAIVE ANY RIGHT TO A JURY TRIAL.
Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations.
Opt-Out. You may opt out of this arbitration agreement by sending written notice to legal@medjay.io within thirty (30) days of first accepting these Terms. The notice must include your name, address, and a clear statement that you wish to opt out of arbitration. If you opt out, you and Medjay retain all rights to pursue claims in court.
Severability. If the class action waiver above is found unenforceable, then the entirety of this Dispute Resolution section shall be null and void. All other provisions of these Terms shall remain in effect.
Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
Changes to Terms
We may update these Terms at any time. Continued use of the website after changes constitutes acceptance of the updated Terms.
