Terms of Service
Last updated October 12, 2026
1. Agreement
These Terms apply when you visit medjay.io, apply to join, or use the Medjay platform, including Voyager, Clarion, Ask Ricky and our relationship tools. By using any of them, you agree to these Terms and to our Privacy Policy. If you use Medjay for an organization, you confirm you’re allowed to accept these Terms for it. If your organization has a separate written agreement with Medjay, that agreement governs where it conflicts with these Terms.
2. Accounts
- Keep your sign-in details and two-factor device secure, and tell us promptly at support@medjay.io if you think your account has been used without permission.
- Give us accurate information when you apply or set up your account.
- Your access depends on the roles your organization or advisor gives you, and they can change or remove it.
3. Organizational accounts
Most people use Medjay through an account set up by an organization: their employer, their company or an advisor’s firm.
- The organization controls its customer content: who can see it, how long it’s kept and when it’s deleted.
- Administrators can access, export or delete content created in the organization’s account.
- If your access ends, for example when you leave the organization, the organization keeps the content you contributed.
- Content you capture at work may belong to your employer. You confirm you’re authorized to add it to Medjay for them.
4. Your content
You (or your organization) keep ownership of the content you put into Medjay or capture with Voyager. You give Medjay permission to host, store, back up, process and display that content, and to have our service providers do so, only as needed to provide and support Medjay for you and your organization, and to create the de-identified, aggregated insights described in our Privacy Policy. This permission ends when the content is deleted, except for backup copies kept under our retention schedule and anything the law requires us to keep.
5. Recording and consent
Voyager can record screens, microphone and system audio, keystrokes and clicks, which may include other people and their communications.
- You’re responsible for consent. Before you record any meeting, call, chat or other communication, you must get every consent the law requires from everyone taking part. Some places require consent from all participants.
- You’re responsible for authorization. Only record devices, accounts and screens you’re allowed to, and only where your organization has approved recording.
- Medjay doesn’t give legal advice about recording laws and doesn’t check your recordings for compliance.
6. Acceptable use
You agree not to:
- break the law, or record or intercept communications in violation of wiretapping, eavesdropping or surveillance laws
- secretly watch or record anyone where the law requires their knowledge or consent
- deliberately capture passwords, security codes, payment card or bank account numbers, government ID numbers, or health information protected by law
- upload content that is unlawful, defamatory or infringes anyone’s rights
- try to get into accounts, companies or data you’re not allowed to see
- interfere with Medjay’s security or operation, or probe, scan or test it for weaknesses without our written permission
- copy, resell or reverse-engineer Medjay, or use it to build a competing product
7. AI features
Medjay uses AI to transcribe, summarize, analyze and suggest findings. AI output can be wrong or incomplete. Findings are suggestions until someone confirms them, and you’re responsible for checking anything before you rely on it. We choose AI providers whose terms say they don’t train on customer data, as described in our Privacy Policy.
8. Fees
Fees, billing, renewals and refunds are set out in your order form or agreement with Medjay. Prices don’t include taxes unless the order form says so.
9. Medjay’s property
The Medjay platform, website and their content, and the names Medjay, Voyager, Clarion, Ask Ricky and Sentinel and our logos, belong to Medjay LLC. These Terms don’t give you any rights to them beyond using Medjay as allowed here. If you send us feedback or ideas, we may use them without owing you anything.
10. Suspension and ending your use
You can stop using Medjay at any time. We may suspend or end access if you break these Terms, if it’s needed to protect Medjay or other users, or if the law requires it. We’ll tell you when we reasonably can. Sections that by their nature should continue (such as ownership, disclaimers, limits of liability, indemnity and disputes) survive after your use ends.
11. Disclaimers
MEDJAY, THE WEBSITE AND ALL FEATURES, INCLUDING VOYAGER AND AI OUTPUT, ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DON’T PROMISE THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR COMPLETELY SECURE, OR THAT CAPTURED CONTENT OR FINDINGS WILL BE ACCURATE OR COMPLETE.
12. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, MEDJAY WON’T BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL. MEDJAY’S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THESE TERMS OR MEDJAY WILL NOT EXCEED THE GREATER OF THE FEES YOU OR YOUR ORGANIZATION PAID MEDJAY IN THE 12 MONTHS BEFORE THE CLAIM, OR $100. THESE LIMITS DON’T APPLY TO YOUR INDEMNITY OBLIGATIONS, YOUR INFRINGEMENT OF MEDJAY’S INTELLECTUAL PROPERTY, OR YOUR BREACH OF RECORDING OR WIRETAPPING LAWS.
13. Indemnity
You’ll defend and hold Medjay, its officers, employees and agents harmless from claims, losses and costs (including reasonable legal fees) that arise from your content, your breach of these Terms, your violation of anyone’s rights, or any recording you make in violation of recording or wiretapping laws.
14. Disputes
- Arbitration. Any dispute about these Terms or Medjay will be decided by binding arbitration run by the American Arbitration Association under its Commercial Arbitration Rules, before one arbitrator, in Dallas, Texas.
- Individual claims only. You and Medjay may bring claims only individually, not as part of a class or representative action.
- No jury. If a dispute ends up in court, you and Medjay both give up the right to a jury trial.
- Exceptions. Either side may ask a court to stop infringement of intellectual property or a breach of confidentiality.
- Opting out. You can opt out of arbitration by emailing legal@medjay.io within 30 days of first accepting these Terms, with your name, address and a clear statement that you’re opting out.
- If the class-action waiver can’t be enforced, this whole disputes section doesn’t apply.
15. Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules.
16. Changes
We may update these Terms. We’ll post the new version with a new version number and effective date, and ask signed-in users to accept it at their next login. Important changes won’t apply to disputes that arose before them.
17. General
These Terms, the Privacy Policy and any written agreement with your organization are the whole agreement about Medjay. If a court finds part of these Terms unenforceable, the rest still applies. Not enforcing a term isn’t a waiver. You can’t transfer these Terms without our consent; we can transfer them in a merger, acquisition or sale of assets.
